These Terms and Conditions govern your access to and use of the website located at www.pekiboo.com, including any related webpages, online store features, accounts, communications and services offered through the website.

The website and online store are operated by Pekiboo Kids Fashion LLC, doing business as Pekiboo Kids Fashion and Photography, referred to in these Terms as "Pekiboo," "we," "us," or "our."

By visiting our website, creating an account, placing an order, subscribing to communications or otherwise using our services, you agree to be bound by these Terms and Conditions, our Privacy Policy, and any additional policies referenced herein. Please read these Terms carefully before using the website. If you do not agree with these Terms, you should not use the website or purchase products through it.

2. ELIGIBILITY

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to place an order, create an account or enroll in Pekiboo's marketing programs. By using the website, you represent that you have the legal capacity to enter into a binding agreement; that the information you provide is accurate and complete; that you are using the website for lawful purposes; and that you are authorized to use the payment method and contact information provided.

Although Pekiboo sells clothing and products intended for children, the website, purchasing services and marketing programs are intended for adults.

3. CHANGES TO THESE TERMS

We may revise these Terms periodically. The version in effect at the time you place an order will generally govern that order. Updated Terms become effective when posted on the website unless otherwise stated, and your continued use of the website after posting constitutes acceptance of the revised Terms.

4. PRIVACY AND PERSONAL INFORMATION

Personal information submitted through the website is handled in accordance with our Privacy Policy, available at https://pekiboo.com/policies/privacy-policy. You represent that all information provided by you is truthful, accurate and current.

5. PERMITTED USE OF THE WEBSITE

You may use the website only for legitimate interactions with Pekiboo. You agree not to: submit false, fraudulent or unauthorized orders; use another person's identity, payment method, email address or telephone number without authorization; use the website for unlawful, abusive or fraudulent purposes; attempt to gain unauthorized access to the website, servers, databases or customer accounts; introduce viruses, malicious code, scripts, bots or harmful technologies; scrape, copy, reproduce or commercially exploit website content without permission; interfere with website operations or security; or circumvent purchasing limits or fraud-prevention measures.

We may restrict or terminate access to the website when we reasonably believe a user has violated these Terms, and may report suspected illegal activity to law-enforcement authorities.

6. PRODUCTS, PRICING AND AVAILABILITY

We make reasonable efforts to display product descriptions, sizes, colors, measurements, photographs and prices accurately. However, colors may appear differently depending on your screen; measurements may vary slightly; product photographs may include decorative objects that are not included; and descriptions may occasionally contain typographical or technical errors. Minor differences that do not materially affect a product's intended use are not necessarily defects.

Product prices are displayed in United States dollars unless otherwise stated. Prices may change without notice; a price change will not normally affect an order that has already been accepted, except in cases of obvious error, fraud or technical malfunction. If a product is listed at an obviously incorrect price, we may cancel the order and issue a refund even if an initial confirmation was sent.

All products and orders are subject to availability. Adding an item to your shopping cart does not reserve it. When an ordered product is unavailable, we may cancel the affected item, contact you regarding a substitute, offer store credit when accepted by you, or issue a refund to the original payment method.

7. ORDERS, ACCEPTANCE AND CANCELLATIONS

To place an order, you must complete the checkout process. An order acknowledgment confirms that we received your request but does not necessarily mean the order has been accepted. An order is accepted when we confirm fulfillment or shipment.

We reserve the right to accept, decline, limit or cancel an order for reasons including product unavailability, incorrect product or pricing information, suspected fraud or unauthorized payment, shipping restrictions, technical errors, duplicate orders, excessive quantities, suspected resale activity, or violations of these Terms. When we cancel an order after payment has been processed, we will issue an appropriate refund.

Orders may begin processing shortly after submission, and we cannot guarantee that an order can be changed or canceled afterward. 8. SALES TAX

Applicable sales tax and other legally required charges will be calculated during checkout based on the order, product type, delivery destination and applicable law. Customers remain responsible for any use tax, import duty, customs fee or other tax that may apply when it is not collected by Pekiboo.

9. PAYMENT

Accepted payment methods are displayed during checkout. By submitting payment information, you represent that you are authorized to use the payment method, the billing information is accurate, sufficient funds are available, and you authorize the applicable charges.

Payments may be processed by third-party payment providers, which may perform authorization, fraud-prevention and identity-verification checks. We are not responsible for delays or rejected orders caused by a bank, card issuer or payment provider declining authorization. Your payment method may be authorized when the order is placed and charged when the order is processed, accepted or shipped.

10. PROMOTIONS, DISCOUNTS AND GIFT CARDS

Promotions and discount codes are subject to their stated conditions and expiration dates. Unless expressly stated otherwise: promotions cannot be combined; discounts do not apply retroactively and have no cash value; promotional codes may be limited to one use per customer; certain products, gift cards or sale items may be excluded; and shipping charges and taxes may not count toward promotional minimums. We may reject or reverse a promotion used in violation of its terms or as a result of manipulation, technical error or fraud.

Unless required by applicable law, gift cards cannot be exchanged for cash or used to purchase another gift card, and lost or stolen gift cards may not be replaced. Electronic gift cards are considered delivered when sent to the email address provided by the purchaser.

11. SHIPPING AND DELIVERY

Products may be shipped to destinations offered during checkout. Shipping options, costs and estimated delivery times are displayed during checkout when available. Estimated delivery dates are not guaranteed; delays may occur because of product availability, order verification, carrier delays, weather, holidays, incorrect addresses, customs inspections or events outside Pekiboo's reasonable control. Orders may arrive in separate shipments. Pekiboo is not responsible for delays caused by a shipping carrier after an order has been transferred to that carrier, although we may assist customers with available tracking or claim information.

You are responsible for providing a complete and accurate shipping address. Pekiboo is not responsible for delays, loss or additional expenses resulting from inaccurate or incomplete information provided by the customer. Address changes cannot be guaranteed after an order has been submitted.

An order is considered delivered when delivered to the address provided, a person present at that address, a mailroom or reception desk, or a carrier-authorized pickup location. Risk of loss generally transfers to the customer upon confirmed delivery, except where applicable law provides otherwise. Title to products transfers after full payment and delivery.

12. LOST, STOLEN OR DAMAGED PACKAGES

Inspect packages promptly after delivery. When a package appears lost, stolen or damaged, contact us as soon as possible with your order number, tracking information, photographs when applicable, and a description of the issue. We may require cooperation with a carrier investigation. Pekiboo does not guarantee replacement or reimbursement for packages confirmed as delivered to the correct address, particularly when theft occurs after delivery; any resolution will depend on the circumstances, carrier policies, insurance and applicable law.

13. STORE PICKUP

When store pickup is available, wait until Pekiboo confirms that the order is ready. Pickup may require government-issued identification, the order number, the payment card used, or written authorization when another person will collect the order. Orders not collected within the communicated pickup period may be canceled, restocked or otherwise handled under the applicable store policy.

14. RETURNS, EXCHANGES AND REFUNDS

Returns and exchanges are governed by Pekiboo's Return Policy as displayed on the website at the time of purchase. Unless otherwise stated: products must be returned within the stated return period, unused, unworn, unwashed and in their original condition, with original labels, packaging and accessories; proof of purchase and return authorization may be required; customers may be responsible for return shipping; original shipping charges may be nonrefundable; and final-sale products may not be returned.

The following may be final sale or nonreturnable unless required by law or accepted by Pekiboo because of a verified defect: personalized or customized products; gift cards; clearance or final-sale merchandise; used, worn, washed or damaged products; products missing tags, packaging or accessories; hygiene-sensitive items that have been opened or unsealed; and products returned outside the permitted return period.

Before returning a product, contact Pekiboo at info@pekiboo.com or +1 (786) 657-8620. Do not send products to any address unless Pekiboo has confirmed it is authorized for returns. Unless Pekiboo provides a prepaid label or applicable law requires otherwise, the customer is responsible for return shipping charges and risk of loss during return transit; we recommend a trackable shipping method.

Approved refunds are generally issued to the original payment method; processing times vary by financial institution. Refunds may exclude original and expedited shipping charges, return shipping charges, and deductions for damage, missing components or use beyond reasonable inspection. When the original payment method is unavailable, Pekiboo may issue store credit when permitted by law.

15. DEFECTIVE OR INCORRECT PRODUCTS

Contact Pekiboo promptly if you receive a product that is defective, materially damaged, incorrect, missing from the order, or materially different from the product ordered. You may be asked to provide photographs and other reasonable evidence. When Pekiboo confirms an error or covered defect, we may provide replacement, repair, refund, store credit or replacement of a missing component. Normal wear, misuse, accidental damage, incorrect care or minor natural variations are not manufacturing defects.

16. ACCOUNTS

When creating an account, you are responsible for providing accurate information, protecting your password, restricting unauthorized access, keeping your contact information updated, and promptly reporting suspected unauthorized activity. You are responsible for activity occurring through your account unless caused by Pekiboo's failure to use reasonable security practices. We may suspend or terminate an account for fraud, abuse, security concerns or violations of these Terms.

17. ELECTRONIC COMMUNICATIONS

By using the website, you consent to receive communications electronically when legally permitted, including order confirmations, receipts, shipping notifications, return information, account notices, policy updates and legally required notices. You agree that electronic records and communications satisfy requirements that communications be in writing, except where applicable law requires a different method.

18. EMAIL MARKETING

When you subscribe to Pekiboo's email list, we may send marketing emails regarding new products and collections, promotions, special events, product recommendations, abandoned shopping carts and Pekiboo news. Marketing emails contain an unsubscribe method; you may also unsubscribe by contacting info@pekiboo.com. Qualifying opt-out requests are honored as required by federal CAN-SPAM requirements. Unsubscribing from marketing emails does not stop transactional or service-related emails regarding purchases, returns, account security or customer-service requests.

19. SMS AND MMS PROGRAM

When you affirmatively opt in to Pekiboo's SMS or MMS program, you agree to receive recurring automated and non-automated text messages from or on behalf of Pekiboo at the mobile number provided. Messages may include promotional offers, new products and collections, shopping-cart reminders, order confirmations, account notifications, shipping and delivery updates, store-pickup notifications, customer-service messages, and security or verification codes when applicable.

Message frequency varies. Message and data rates may apply. Consent is not a condition of purchase.

You represent that you are the subscriber or authorized user of the mobile number, that the number is accurate, and that you will notify Pekiboo or unsubscribe before relinquishing the number. Mobile carriers are not liable for delayed or undelivered messages. Message delivery is not guaranteed and may depend on your carrier, device, plan, location and network availability.

20. SMS OPT-OUT AND HELP

You may stop Pekiboo marketing text messages at any time by replying STOP. Pekiboo may also recognize other customary opt-out requests, including END, CANCEL, UNSUBSCRIBE, QUIT, REVOKE or OPT OUT. After opting out, you may receive one final message confirming the request.

Opting out of marketing messages does not necessarily prevent transactional communications that you separately request or that are reasonably necessary to complete an active order or service request, where permitted by law.

21. WHATSAPP COMMUNICATIONS

When you contact Pekiboo through WhatsApp or consent to WhatsApp communications, you authorize Pekiboo to communicate with you through the telephone number provided, including for product inquiries, customer service, order information, payment or shipping updates, store-pickup coordination, and marketing communications when appropriate consent has been provided.

You may stop promotional WhatsApp messages by replying STOP, UNSUBSCRIBE, CANCEL, or by clearly asking us to stop. WhatsApp is a third-party platform; your use of WhatsApp is also subject to WhatsApp's own terms and privacy practices, and Pekiboo is not responsible for WhatsApp's independent systems or service availability.

22. COMMUNICATION PREFERENCES

Email, SMS and WhatsApp are separate communication channels, and unsubscribing from one may not automatically unsubscribe you from the others. To request removal from all Pekiboo promotional channels, contact info@pekiboo.com and clearly request removal from all marketing communications. We may retain limited suppression records to ensure that opt-out requests continue to be honored.

23. MOBILE INFORMATION AND CONSENT DATA

No mobile information will be sold or shared with third parties for promotional or marketing purposes. Mobile telephone numbers, SMS opt-in data and text-message consent records will not be sold or disclosed to third parties or affiliates for their independent marketing purposes.

We may disclose such information to service providers that help us operate the messaging program, including telecommunications providers, messaging platforms, customer-support providers and technology vendors. Those providers may use the information only to provide contracted services to Pekiboo, comply with law or protect the security and integrity of their services.

24. MESSAGE AND SERVICE AVAILABILITY

Email, SMS, MMS and WhatsApp communications may be delayed, filtered, blocked or unavailable because of circumstances beyond Pekiboo's control, including wireless carriers, email providers, messaging platforms, spam filters, incorrect contact information, device settings, network outages and third-party systems. Pekiboo is not responsible for failures caused by such circumstances.

25. REVIEWS, PHOTOS AND USER CONTENT

When you submit a review, photograph, testimonial, comment, social-media tag or other content to Pekiboo, you represent that you own or control the necessary rights; that the content is accurate and lawful; that it does not infringe third-party rights; and that you have permission from any identifiable person appearing in the content.

Unless otherwise agreed in writing, you grant Pekiboo a nonexclusive, worldwide, royalty-free, transferable and sublicensable license to use, reproduce, publish, display, adapt and distribute the submitted content for website, social-media, promotional and business purposes. You retain ownership of your original content. We may remove user content at our discretion.

26. PHOTOGRAPHY SERVICES

When Pekiboo offers photography services, appointments, sessions or related products, additional booking terms may apply, addressing matters such as scheduling, deposits, cancellations, rescheduling, image selection, editing, delivery time, copyright, model releases and personal-use licenses. When additional photography terms conflict with these general Terms, the specific photography terms govern the applicable service.

27. INTELLECTUAL PROPERTY

All website content — including trademarks, logos, trade names, photographs, graphics, product descriptions, page designs, text, videos and software — is owned by or licensed to Pekiboo and protected by applicable intellectual-property laws. You may use the website for personal, noncommercial shopping purposes. You may not, without prior written permission, copy or republish website content, modify or create derivative works, use Pekiboo trademarks or branding, scrape product information or images, resell or commercially exploit website content, remove copyright or trademark notices, or use content to train, populate or operate another commercial website, catalog, application or artificial-intelligence system.

28. THIRD-PARTY SERVICES AND LINKS

The website may include links, integrations or services provided by third parties, including payment processors, shipping companies, social networks, analytics providers and communication platforms. Pekiboo does not control and is not responsible for third-party content, privacy practices, security, terms, products or availability. Review third-party terms and policies before using those services.

29. WEBSITE AVAILABILITY

We do not guarantee that the website will always be available, uninterrupted, accurate or error-free. We may suspend website access, perform maintenance, modify features, remove products or content, restrict access or discontinue portions of the website. We are not responsible for losses caused solely by temporary website unavailability, except where liability cannot legally be excluded.

30. DISCLAIMER OF WARRANTIES

To the maximum extent permitted by law, the website and its content are provided on an "as is" and "as available" basis. Pekiboo does not guarantee that the website will be uninterrupted, that all descriptions or images will be error-free, that products will always be available, that communications will always be delivered, or that the website will be free from all security risks. Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

31. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Pekiboo Kids Fashion LLC will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages arising from use of the website, products, communications or services, including loss of profits, revenue, business opportunities, data, anticipated savings or goodwill.

Where liability cannot be excluded, Pekiboo's aggregate liability relating to a product will generally be limited to the amount paid for that product. These limitations do not apply where exclusion or limitation would be unlawful, including certain cases involving fraud, intentional misconduct, gross negligence, personal injury or nonwaivable consumer rights.

32. INDEMNIFICATION

To the extent permitted by law, you agree to indemnify and hold harmless Pekiboo Kids Fashion LLC and its owners, employees, contractors, representatives and service providers from claims, liabilities, damages and reasonable expenses arising from your unlawful use of the website, your violation of these Terms, your infringement of third-party rights, false or unauthorized information submitted by you, user content submitted by you, or fraudulent or abusive activity associated with your account. This provision does not require indemnification for Pekiboo's own unlawful conduct.

33. EVENTS OUTSIDE OUR CONTROL

Pekiboo will not be responsible for delays or failures caused by events outside its reasonable control, including natural disasters, severe weather, fire or flood, war or civil unrest, government action, labor disputes, pandemics or public-health emergencies, carrier interruptions, utility or internet outages, cyberattacks, supply-chain disruptions and payment-system failures. Our obligations may be suspended for the duration of the event.

34. FRAUD PREVENTION

We may use internal or third-party tools to evaluate orders for fraud, payment risk or unauthorized activity, and may request identity verification, billing-address confirmation, payment verification or confirmation from the cardholder. Failure to provide requested verification may result in delay or cancellation.

35. TERMINATION

We may suspend or terminate your access to the website, account or services when you violate these Terms, fraud is suspected, security is threatened, payment remains unpaid or disputed, your conduct harms Pekiboo or another person, or termination is reasonably necessary to comply with law. Provisions that logically survive termination remain in effect, including intellectual-property, liability, dispute and indemnification provisions.

36. GOVERNING LAW AND VENUE

These Terms and any dispute arising from them are governed by the laws of the State of Florida and applicable federal law, without regard to conflict-of-law principles. Unless applicable law requires otherwise, any legal action arising from these Terms, the website or a Pekiboo purchase must be brought in a court of competent jurisdiction located in Miami-Dade County, Florida, and you and Pekiboo consent to the jurisdiction of those courts. Any nonwaivable consumer rights available under applicable law remain unaffected.

37. INFORMAL DISPUTE RESOLUTION

Before filing a formal legal action, you agree to contact Pekiboo and provide a reasonable opportunity to resolve the dispute informally. Send a notice including your name, contact information, order number when applicable, a description of the dispute and the requested resolution to info@pekiboo.com with the subject line "Legal Dispute Notice." Nothing in this section prevents either party from seeking urgent injunctive relief when necessary.

38. GENERAL PROVISIONS

No waiver: Failure by Pekiboo to enforce a provision of these Terms does not waive its right to enforce that provision later. A waiver is effective only when expressly made in writing by an authorized representative.

Severability: If any provision of these Terms is held invalid, illegal or unenforceable, that provision will be enforced to the maximum extent permitted or removed as necessary, and the remaining provisions will continue in effect.

Assignment: You may not assign your rights or obligations under these Terms without Pekiboo's written consent. Pekiboo may assign or transfer its rights and obligations in connection with a merger, acquisition, restructuring, financing, sale of assets or transfer of business operations.

Entire agreement: These Terms, together with the Privacy Policy and other policies expressly incorporated by reference, constitute the entire agreement between you and Pekiboo regarding use of the website and purchases from the online store. Section headings are provided for convenience only and do not affect interpretation.
